Introduction
The Single Interface to External Capital
WCP serves as the single interface between the WARMICO ecosystem and external capital markets. It raises funds through instruments familiar to institutional counterparties and deploys them into specific projects through documented, secured intercompany transactions. By aggregating borrowing capacity at the holding level, WCP offers a single creditworthy counterparty across a diversified portfolio of operating infrastructure.
Boundaries
What WCP is not
Not a bank.
No deposits, no payment accounts, no money transmission, no custody.
Not an investment fund.
Not an AIF. Does not manage pooled capital for unrelated third parties. Centralized corporate treasury for its own ecosystem.
No external financing mandate.
Internal lending is restricted to entities and projects within the group's internal perimeter.
No implicit guarantees.
WCP's obligations are its own. No automatic parent guarantee unless explicitly structured per transaction.
Governance
Independence by Architecture
- Board of Directors with independent members — no operational roles in ecosystem entities
- Credit Committee with veto authority over all internal lending — structurally separated from the acquisition function, with an independent external advisor owing fiduciary duty to capital providers
- Escrow-controlled deployment — no capital release without Credit Committee approval, independent valuation, and confirmed covenant compliance
- Capital structure incorporates sponsor participation alongside external debt
- Société Anonyme under Luxembourg law, structured to operate under applicable corporate and group financing frameworks

Where WCP Sits
DEED Alliance (Israel) is the strategic management entity. Four Luxembourg holdings operate under defined mandates: WINCO (asset ownership), WERGO (services and industrial execution), WISEN (research and IP), and WCP (capital formation). Three deliver operational outcomes; WCP structures the capital that enables them.
